LEAGAL

As our client, you have the power and ability to enter into this contract on behalf of your company, organization, or client. You agree to provide us with everything that we need to complete the project, including text, images, select font options, and other information as and when we need it, and in the format that we ask for. You agree to review our work, provide feedback, and sign off on approval promptly, and are bound by any deadlines that we set together. You also agree to keep to the payment schedule set out in this proposal.

We have the experience and ability to perform the services you need and will carry them out in a professional and timely manner. We will endeavor to meet all the deadlines set, but am not responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved our work on time at any stage. We will also maintain the confidentiality of any information that you give us.

We do offer a basic monthly backend maintenance service, which does not include content updates, for a monthly fee starting at $125. You can sign up at a later date.

LEGAL LIABILITY

We are not liable to you or any third party for damages, including lost profits, lost savings, or other incidental, consequential, or special damages arising out of the operation of or inability to operate this website and any other web pages—even if you have advised us of the possibilities of such damages.

If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

COPYRIGHTS

We, Impresmodo and the owner assumes (client) you and your business have permission from the rightful owner to use any code, images, testimonials, scripts, data, and reports are provided by you and your business for inclusion in its materials and will hold harmless, protect, and defend us, Impresmodo, from any claim or suit arising from the use of such work.

You (client) guarantee to us that any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide us for inclusion in the website are either owned by you or that you have permission to use them.

DETAILS OF THE WORK

We will create a design for the look, layout, and functionality of your client’s website. These service terms include one main website design and two opportunities for you to make revisions to the final design promptly. If you are not happy with the design at that point, we will provide you with an additional quote for extra design work needed. If, instead, you (client) wish to cancel our agreement, you (client) may do so, and we will retain any payments for the work completed to date.

PAYMENT STRUCTURE

Paid in full payment or a Deposit (non-refundable) is due prior to design and development beginning (independent of whether or not you publish it on your domain).
Payment accepted via Credit Card or Debit Card; there is a transaction fee that will be added to your invoice.
Additional work beyond 3 rounds of revision will be charged at $103 per hour.
New components that are not described in the scope of work will be assessed in a new estimate.
Business day count starts only after the client provides all resources requested, such as images, contact details, etc.
After the work is completed, approved, and final payment has been received, processed, and cleared, we will transfer/upload the WordPress website project ownership to your account/domain/ web hosting service.
For payment plans, the final payment (non-refundable) is due prior to moving the website(s) over to the home domain and hosting servers.
In case of project cancellation, after the work has started, the client will pay for the relevant part of the work.

PROJECT REFUNDS

All Service and Project deposits, payments, and fees are non-refundable.

All Digital products, classes, courses, web hosting, and services sold by Clevrspace.com, Clevrhost.com, and Impresmodo.com are non-refundable, and there are no prorated refunds available.

PROJECT TERMS

Upon receipt of any payment made to initiate the start of a project and work has started for your requested service or project, and/or a draft has been sent to the client, and/or the project is completed, all payments are non-refundable. Your payment for the project confirms that you agree to the service terms detailed.

We make every effort to keep projects moving forward to completion and launch. After every effort on our end to connect with you or a member of your team (the client) to receive the requested information, content, updates/changes, and we haven’t heard back, or you have not made an effort to move forward with your project, your project will be deemed abandoned.

In addition to, but not limited to, any projects that have been completed, have not been completed with no response, or have no scheduled working call to keep the project moving forward from the client for two weeks or more, are considered abandoned. Abandoned projects will be cancelled and deleted. Projects started after August of that year will be subject to this cancellation and deletion by Oct 1st of that year.

All website projects left inactive for 45 days or more will be deemed abandoned, and the client agrees to forfeit all payments already made toward the abandoned project. The client also acknowledges that they have the option to restart the project only after payment in full is received at the new project rate offer, not the previously quoted rate.

An abandoned project requires a new project payment (paid in full) at the current project price, regardless of the original project price, to be restarted.

We do not keep copies of projects; once they are cancelled and deleted, they are unretrievable.

We, Impresmodo retains and reserve the right to display graphics, link to your completed project, and other web content elements as examples of our work in our portfolio and as content features in other projects, also to write about the project on websites, in magazine articles, and in books. Note: We will not share sensitive information.

ACKNOWLEDGEMENT

These service terms, acknowledgement, and “agreement” become effective when the first payment is made by the client to Impresmodo for services requested. Regardless and independent of the state of the client’s business at the time of any payments submitted and under this agreement, the client agrees that for purposes of venue, these service terms were entered into in Georgia and any dispute will be litigated or arbitrated in Georgia.

The service terms contained in this agreement constitute the sole agreement between the client (individual agent of the company and the company) and Impresmodo LLC regarding all items included in this agreement.

You cannot transfer this contract to anyone else without our written permission. These service terms agreement stays in place and need not be renewed. If, for some reason, one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.
